Terms of Use & Licence

1. Acceptance of these terms

By visiting this website, buying HelixChords, or installing and using the plugin, you agree to these Terms of Use and the End-User Licence Agreement in section 13. If you do not agree, please do not use the website or the plugin.

2. The product

HelixChords is a music software plugin that generates chord progressions, available as a VST3 plugin and standalone application for FL Studio and Ableton Live. Features, compatibility and system requirements may change as the product is updated.

3. Purchase & payment

HelixChords is sold as a one-time purchase of $11.99 for a lifetime licence, including future updates. Prices are shown at checkout and may change for future purchases.

Payments are processed by our Merchant of Record, Lemon Squeezy, who acts as the reseller of HelixChords. They handle billing, invoicing and applicable sales tax or VAT, and your purchase is also subject to their buyer terms. We do not store your full payment card details.

4. Free trial

We may offer a 7-day free trial, no card required. The trial is provided "as is" for evaluation only and may have limited features. We may change or withdraw the trial at any time. At the end of the trial period, you must purchase a licence to keep using the plugin.

5. Refunds & money-back guarantee

We offer a 7-day money-back guarantee. If you are not satisfied, email us within 7 days of your purchase and we will refund you in full. Refunds are issued through our payment provider to your original payment method.

EU/EEA consumers — right of withdrawal: digital content is supplied immediately on download. By starting your download you ask us to begin supply at once and acknowledge that you lose the statutory 14-day right of withdrawal once the download has begun. Our 7-day guarantee above applies regardless and is more generous to you.

6. Licence keys & delivery

After purchase, your download link and licence key are delivered to your email automatically. You are responsible for keeping your licence key secure and for the accuracy of the email address you provide. Your licence is for your own use and may be installed on the computers you personally own.

7. Acceptable use

You agree not to:

• Copy, resell, sublicense, rent or redistribute the plugin or your licence key.
• Reverse engineer, decompile or modify the plugin, except where the law expressly allows it.
• Share, publish or crack licence keys, or circumvent any licensing checks.
• Use the website or plugin for any unlawful purpose or in a way that harms our service or other users.

8. Intellectual property

The HelixChords plugin, the Helix Music name, the website, and all related software, text, graphics and logos are owned by us or our licensors and protected by intellectual property law. We grant you a licence to use the plugin (section 13); we do not sell you the software itself.

Your music is yours. Any chord progressions, MIDI or music you create using HelixChords belong to you and may be used in commercial releases with no royalty or credit owed to us.

9. Disclaimer of warranties

The website and plugin are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not guarantee the plugin will be uninterrupted, error-free, or compatible with every system or DAW version. This does not affect any mandatory statutory rights you have as a consumer.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential damages, lost data, lost profits or lost projects arising from your use of the plugin or website. Our total liability for any claim is limited to the amount you paid for HelixChords. Nothing in these Terms limits liability that cannot be limited by law.

11. Termination

We may suspend or terminate your licence if you materially breach these Terms (for example, by sharing or cracking licence keys). On termination you must stop using and remove the plugin. Sections that by their nature should survive (e.g. intellectual property, disclaimers, liability) will continue to apply.

12. Governing law

These Terms are governed by the laws of Bosnia and Herzegovina, without regard to its conflict-of-law rules. Any disputes will be subject to the competent courts there, unless mandatory consumer-protection law in your country of residence gives you the right to bring a claim locally.

13. End-User Licence Agreement (EULA)

This EULA is a legal agreement between you and Helix Music for the HelixChords software. By installing or using the software you accept it.

13.1 Licence grant

We grant you a personal, non-exclusive, non-transferable, worldwide licence to install and use HelixChords for your own music production, on the computers you personally own, for as long as you comply with this agreement.

13.2 Restrictions

• You may not sell, rent, lease, sublicense, lend or otherwise transfer the software or your licence.
• You may not reverse engineer, decompile or disassemble the software except as permitted by law.
• You may not remove or alter any proprietary notices, or circumvent licensing/copy protection.

13.3 Ownership

The software is licensed, not sold. We retain all title and intellectual property rights in HelixChords.

13.4 Output

You own all musical output you create with HelixChords and may use it commercially, royalty-free.

13.5 Updates

Updates we provide are covered by this same EULA unless we supply different terms with an update.

13.6 Termination

This licence ends automatically if you breach its terms. On termination you must stop using and delete the software.

13.7 No warranty & liability

The software is provided "as is". Sections 9 and 10 of these Terms (disclaimer and limitation of liability) apply to this EULA.
